1. About Grit and these Terms
These Terms & Conditions (the “Terms”) govern your access to and use of the website at gritenergyltd.com (the “Website”) and, together with any applicable Contract, the services provided by Grit Energy Ltd. (“Grit”, “we”, “us” or “our”), a private limited company incorporated in Bangladesh, with its head office at House 416, Road 7, Level 4, Baridhara DOHS, Dhaka 1206, Bangladesh.
By using the Website, submitting an enquiry, or engaging our services, you agree to these Terms. If you act on behalf of a company or organisation, you confirm that you are authorised to bind it. If you do not agree, please do not use the Website or our services.
2. Definitions
- Client means the person or organisation that requests or receives our services.
- Contract means any signed quotation acceptance, purchase order accepted by us, work order, EPC contract, supply agreement, O&M agreement or other written agreement between Grit and the Client.
- Equipment means solar modules, inverters, batteries, mounting structures, cables, switchgear, meters, data loggers and other materials supplied by us.
- Services means the services described in section 3 and in any Contract.
- Site means the roof, land, building or premises where a system is surveyed, installed or maintained.
- System means the solar photovoltaic, hybrid or storage system designed, supplied or installed by us.
3. Our Services
Grit provides engineering, procurement and construction (“EPC”) of rooftop, ground-mounted, hybrid and off-grid solar systems; battery energy storage; HT/LT electrical and grid integration works; net metering support; operations and maintenance (“O&M”) and monitoring; energy auditing and consultation; and support for green certification and environmental attributes. The specific scope, specification, schedule and price of any Service are defined only in the relevant Contract.
4. Website Information and Estimates
Content on the Website, including project descriptions, statistics, photographs, savings figures, payback periods and the results of the savings estimator, is provided for general information. Estimates rely on standard assumptions about solar irradiance, specific yield, tariffs, degradation, prices and financing that may not apply to your Site. They are not an offer, a guarantee or professional advice, and you should not rely on them when making an investment decision without a site-specific proposal. Some photographs are representative of a project type.
5. Quotations and Proposals
- Quotations are valid for 15 days from their date unless stated otherwise, and are subject to equipment availability, exchange rates, import duties and taxes at the time of order.
- Quotations are based on information available at the time, including the Client’s load data, drawings and survey findings. If actual Site conditions differ materially, we may revise the price, design or schedule.
- Prices are exclusive of VAT, AIT and other applicable taxes unless the quotation states otherwise.
- Brands named in a quotation may be substituted with equipment of equal or better specification if the named brand becomes unavailable, with the Client’s prior written approval.
6. Site Surveys and Client Information
Where we carry out a site survey, the Client will provide safe access and accurate information about the Site, including roof structure, ownership, electrical connection, sanctioned load, historical consumption and any restrictions. Survey findings, drone images, shading studies and preliminary designs are prepared for the Client’s evaluation of a Grit proposal and remain our intellectual property until the related Contract is paid in full.
Unless a structural assessment is expressly included in the Contract, the Client remains responsible for confirming that the roof or structure can safely carry the System and associated loads. Where we identify a structural concern, we may require strengthening works or an independent structural certificate before installation.
7. Contracts and Order of Precedence
A Contract is formed only when signed or confirmed in writing by an authorised representative of Grit. If there is any conflict, the following order of precedence applies: (a) the signed EPC contract or work order and its schedules; (b) the accepted quotation; (c) these Terms; (d) any other document. The Client’s own terms of purchase apply only if we expressly accept them in writing.
8. Prices, Taxes and Payment
- Payment milestones, retention and securities are as set out in the Contract. Where no schedule is agreed, an advance is payable with the order, a further instalment on delivery of Equipment, and the balance on commissioning.
- All payments must be made in Bangladeshi Taka, or the currency stated in the Contract, by bank transfer, cheque or pay order to an account in the name of Grit Energy Ltd.
- Taxes, duties and charges imposed by law are payable by the Client in addition to the price unless the Contract states the price is inclusive. Where the Client deducts tax at source, it will provide valid certificates promptly.
- Late payments may delay delivery, commissioning or handover, and may extend the schedule without liability on our part. We may charge reasonable financing costs on overdue amounts where the Contract allows.
9. Payment Security and Fraud Prevention
Our bank details are given only on our official letterhead, proforma invoice or Contract. We will never change our bank details by email, phone or messaging app alone. If you receive a request to pay a different account, do not pay it and confirm with us by calling +880 1701-679349. Grit is not responsible for payments made to accounts not held in our name.
10. Delivery, Title and Risk
Delivery dates are estimates and depend on import lead times, customs clearance, Site readiness and timely payments. Risk in Equipment passes to the Client on delivery to the Site, or on handover where the Contract states so. Legal title to Equipment passes to the Client only when the full Contract price has been paid. Until then, the Client holds the Equipment as bailee, keeps it insured and identifiable, and allows us access to recover it if payment is not made.
11. Approvals, Net Metering and Utilities
We support the Client with approvals and applications such as net metering, connection agreements and inspections, in line with applicable regulations and guidelines including those of the Sustainable and Renewable Energy Development Authority (SREDA) and the relevant distribution utility. Decisions, timelines and conditions of government bodies and utilities are outside our control. Unless the Contract states otherwise, the Client is responsible for statutory fees, utility charges and providing documents that only the Client can give, such as proof of ownership, trade licence and electricity account details.
12. Performance and Generation
Energy generation depends on solar irradiance, weather, shading, soiling, temperature, grid availability, curtailment, Client loads and operating practice. Yield simulations are engineering estimates and not guarantees. A performance-ratio or generation guarantee applies only where expressly agreed in a Contract, and is subject to the measurement method, exclusions and remedies stated there. Loss of generation caused by grid outage, load-shedding, voltage or frequency outside inverter limits, or Client actions is excluded.
13. Warranties
- Manufacturer warranties. Product and performance warranties for modules, inverters, batteries and other Equipment are provided by the respective manufacturers on their published terms. We pass these warranties through to the Client and assist with warranty claims.
- Workmanship. We warrant that installation work will be carried out with reasonable skill and care in accordance with good industry practice. The workmanship warranty and defect liability period are as stated in the Contract and, if none is stated, are 12 months from commissioning.
- Exclusions. Warranties do not cover damage caused by misuse, unauthorised modification or repair, inadequate maintenance, structural failure of the building, flooding, fire, lightning beyond the design protection, theft, vandalism, pests, grid abnormalities or force majeure events.
- Except as expressly stated in these Terms or a Contract, all other warranties, whether express or implied, are excluded to the extent permitted by law.
14. Operations and Maintenance
O&M and Maintenance-as-a-Service plans, including cleaning frequency, inspections, reporting, response times and fees, are defined in the O&M agreement. Access to monitoring and analytics platforms may depend on third-party providers, internet connectivity and data loggers at Site, and may be interrupted from time to time. Automated alerts and generation forecasts are tools to support maintenance and do not guarantee that every fault will be detected.
15. Health, Safety and Site Access
We follow safe working practices, use appropriate personal protective equipment and comply with applicable labour and safety laws. The Client will provide safe access to the Site, inform us of known hazards, provide reasonable facilities such as power and water for construction, and ensure its own staff and other contractors do not interfere with our work areas. We may stop work where conditions are unsafe.
16. Client Responsibilities
The Client will: provide accurate information; obtain landlord, owner or association consents; keep the System area clear and secure; not tamper with, relocate or modify the System without our written consent; follow operating and safety instructions provided at handover; and notify us promptly of any fault, damage or alarm.
17. Financing and Third-Party Lenders
We may introduce Clients to banks, financial institutions, green refinancing schemes or OPEX and power purchase providers, and help prepare technical documentation. Grit is not a bank or financial institution and does not lend money, take deposits or provide financial, investment or tax advice. Any financing is a matter between the Client and the financier on the financier’s terms. Approval of financing is not a condition of a Contract unless the Contract says so.
18. Green Claims, Certificates and Carbon Credits
Where we support green certification, renewable energy certificates or carbon credit activities, issuance depends on the rules of the relevant standard, registry and verifier, which may change. We do not guarantee issuance, quantity, timing or market value of any certificate or credit. The Client is responsible for the accuracy of public environmental claims it makes and should base them on issued and, where applicable, retired attributes.
19. Anti-Bribery and Ethical Conduct
Grit does not offer, pay, solicit or accept bribes, facilitation payments or improper advantages, including in public procurement. We expect the same of our Clients, suppliers and partners and may terminate any engagement involving such conduct. Concerns may be reported confidentially to management@gritenergyltd.com.
20. Confidentiality
Each party will keep confidential the other party’s non-public business, technical and financial information received in connection with an enquiry or Contract and use it only for that purpose, except where disclosure is required by law, to professional advisers bound by confidentiality, or to financiers and manufacturers as needed to deliver the Services. These obligations survive for three years after the end of the engagement.
21. Intellectual Property
All content on the Website, including text, graphics, the Grit name and logo, photographs, designs and software, is owned by or licensed to Grit and protected by intellectual property laws. Designs, drawings, calculations, reports and software we create remain our intellectual property. On full payment, the Client receives a non-exclusive licence to use deliverables for the operation, maintenance and financing of its System. You may not copy, reproduce or commercially use Website content without our written permission.
22. Manufacturer Brands and Trademarks
Names and logos of equipment manufacturers shown on the Website are trademarks of their respective owners. They are displayed only to identify products that Grit specifies, supplies or installs. Unless a specific partnership is expressly described, such as our country partnership with Canadian Solar, their display does not imply that the manufacturer endorses, sponsors or is affiliated with Grit. Trademark owners who have questions may contact us and we will respond promptly.
23. Use of the Website
You agree not to use the Website unlawfully; to send spam, malware or misleading information; to attempt unauthorised access to our systems; to scrape the Website at a scale that burdens it; or to impersonate any person. We may restrict access to protect the Website and its users.
24. Third-Party Links and Services
The Website may link to third-party websites and services, such as maps, messaging apps, social networks, manufacturer sites and monitoring platforms. We are not responsible for their content, availability or privacy practices.
25. Disclaimers
The Website is provided “as is” and “as available”. To the extent permitted by law, we do not warrant that the Website will be uninterrupted, error-free or free of harmful components, or that information on it is complete or current.
26. Limitation of Liability
To the extent permitted by law: (a) Grit is not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, production, business, goodwill or data, however arising; and (b) Grit’s total aggregate liability arising out of or in connection with the Website, these Terms or any Contract is limited to the amount paid by the Client under the relevant Contract in the twelve months before the claim, or, for use of the Website alone, BDT 10,000. Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded by law. A Contract may contain a different cap, which then prevails.
27. Indemnification
You agree to indemnify Grit against losses, claims and reasonable costs arising from your breach of these Terms, your misuse of the Website, inaccurate information you provide, or your violation of law or third-party rights.
28. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including floods, cyclones, earthquakes, fire, epidemics, war, civil unrest, hartals and blockades, strikes, port congestion, import restrictions, changes in law, acts of government or utilities, and supplier or shipping disruption. The affected party will notify the other and take reasonable steps to limit the effect. Schedules are extended for the duration of the event.
29. Suspension and Termination
We may suspend work if payment is overdue, the Site is unsafe or inaccessible, or required approvals or information are not provided. Termination rights and consequences are set out in the Contract. On termination, the Client will pay for work done, Equipment ordered or delivered and reasonable demobilisation costs.
30. Governing Law and Disputes
These Terms are governed by the laws of the People’s Republic of Bangladesh. The parties will first try to settle any dispute through good-faith discussions between senior management within 30 days. If not settled, the dispute will be referred to arbitration in Dhaka under the Arbitration Act, 2001, by a sole arbitrator, conducted in English, unless the Contract provides otherwise. Subject to this, the courts of Dhaka have exclusive jurisdiction, and either party may seek urgent interim relief from a competent court.
31. Electronic Communications
You agree that communications, notices and records may be provided electronically, including by email and through the Website, and that electronic signatures and records have the same effect as paper ones to the extent permitted by law. Formal notices under a Contract must be given as the Contract specifies.
32. Privacy
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.
33. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date and applies from that date. Changes do not affect Contracts already signed unless both parties agree in writing.
34. General Provisions
Entire agreement. These Terms, the Privacy Policy and any Contract form the entire agreement on their subject matter. Severability. If any provision is invalid, the rest remains in force. No waiver. Failure to enforce a right is not a waiver of it. Assignment. You may not assign your rights without our written consent; we may assign to an affiliate or successor on notice. Subcontracting. We may use qualified subcontractors and remain responsible for their work. Independent parties. Nothing creates a partnership, joint venture or agency. Language. These Terms are written in English; any translation is for convenience only.
